Who we are. EliteUSMD, Inc. (“EliteUSMD,” “we,” “us,” “our,” or the “Company”) is a physician-owned professional medical entity. EliteUSMD holds all physician and provider relationships and is responsible for clinical oversight and for the Good Faith Examinations performed through our network.
Health Covers Inc. is a separate management services organization that provides administrative, credentialing, technology, and billing services to EliteUSMD. Health Covers Inc. does not practice medicine, does not provide medical advice, and does not control clinical decision-making. All clinical decisions are made by licensed providers exercising independent professional judgment.
This End User License Agreement (“EULA”) governs your use of the EliteUSMD platform and software (the “Software”). By accessing or using the Software, you agree to this EULA.
License grant
Subject to your compliance with this EULA, the Terms of Use, and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Software for the internal business purposes of your clinic during the term of your subscription.
This is a license, not a sale. We retain all right, title, and interest in the Software.
Restrictions
You may not, and may not permit anyone else to:
- Copy, modify, adapt, translate, or create derivative works of the Software
- Reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, algorithms, or clinical question logic
- Rent, lease, lend, sell, sublicense, or otherwise transfer the Software
- Remove or obscure any proprietary notice
- Use the Software to build a competing product or service
- Scrape, harvest, or bulk-export data from the Software
- Use the Software in violation of any law or of any patient's rights
The clinical question logic is the product. The treatment-specific examination sets, the taxonomies used to build them, and the deduplication logic are proprietary. Extracting, replicating, or reusing them outside the Software is a material breach.
Accounts and users
Access is licensed to your clinic. Each user must have their own credentials. Credential sharing is prohibited, both because it breaches this EULA and because it destroys the audit trail that makes an examination record defensible.
You are responsible for your users’ compliance with this EULA.
Your data
You retain all rights in the data you and your patients submit. You grant us the rights necessary to host, process, transmit, and display that data in order to provide the Software.
Protected Health Information is handled under HIPAA and the Privacy Policy, and is not used for any purpose other than providing the Services and meeting legal obligations.
We may generate and use aggregated, de-identified statistics about use of the Software, provided such information cannot reasonably be used to identify any individual, clinic, or patient.
Updates and availability
We may update, modify, or discontinue features of the Software. We will provide reasonable notice of material changes that adversely affect functionality you rely on.
We aim for continuous availability but do not guarantee uninterrupted service. Planned maintenance will be scheduled to minimize disruption where practical.
Term and termination
This EULA remains in effect while your subscription is active. It terminates automatically if your subscription ends or if you materially breach it.
On termination, you must stop using the Software. You retain the right to obtain your patients’ medical records as required by law. We will make those records available for a reasonable period following termination.
Warranty and liability
The Software is provided “as is.” We disclaim all implied warranties to the fullest extent permitted by law.
The limitation of liability in the Terms of Use applies to this EULA and is incorporated by reference.
The Software supports clinical workflow. It does not make clinical decisions and is not a substitute for the judgment of a licensed provider.
